Section 1.    The name of this organization shall be The Military Officers Association of America, Marin Chapter, hereinafter referred to as the Chapter.


Section I.  The purpose of the Chapter shall be to promote the purposes and objectives of the Military Officers Association of America, foster fraternal relations among retired, active and former officers of the uniformed services, protect the rights and interests of personnel of the uniformed services and their dependents and survivors, provide useful services for members and their dependents and survivors and serve the community and the nation.


Section 1.  This Chapter shall be a nonprofit organization, operated exclusively for the purposes specified in  Article II above.

Section 2.  Officers and other Directors shall not receive any stated compensation for their services, but   the   Treasurer may authorize reimbursement of expenses not to exceed $100 incurred in the performance of their duties.   All expenses in excess of $100 must be authorized by the Executive Board.

Section 3.  Nothing herein shall constitute members of this Chapter as partners for any purpose.  No member, officer or agent of this Chapter shall be liable for the acts or failure to act on the part of any member, officer or agent.  Nor shall any member, officer or agent be liable for his acts or failure to act under these bylaws excepting acts arising out of his malfeasance.

Section 4.  The Chapter shall use its funds only to accomplish the purposes specified in Article II above.

Section 5.   In the event of dissolution of the Chapter, and after the discharge of all its liabilities, the remaining assets shall be given to a nonprofit organization whose purposes and objectives shall be similar to those of this Chapter. Such organizations shall be designated by the Executive Board.


Section 1.  Membership shall be composed of men and women who are, or who have been retired or active commissioned officers or warrant officers of the Army, Navy, Air Force, Marine Corps, Coast Guard, National Oceanic and Atmospheric Administration and Public Health Service, and other components of these services, including widows and widowers of any deceased individuals who would be, if living, eligible for membership.

Section 2.  Subject to the provisions of Section 1 above, membership shall be of three classes;

    A. Regular Members
a. Officers (whether or not drawing retired pay) who are on the retired lists.
b. Officers who are not retired.
c. Former officers who were separated under conditions acceptable to the Executive Board.

    B. Auxiliary Members
a. Widows and widowers of any deceased individual who would, if living, be eligible for membership .

    C. Honorary Members
a. The Executive Board may grant honorary membership to certain individuals in recognition of their services to the nation, the retired officers community or the Association, if the individual is not otherwise eligible for membership. Honorary membership shall not convey any voting rights or entail a requirement for the payment of dues.

Section 3.  Application for membership shall be made on the standard form and be processed by the Membership Committee Chairman and the Treasurer.

Section 4.  The Executive Board may accept or reject any application for membership.

Section 5.  All classes of members, except honorary members, shall be entitled to vote on any matter submitted to the membership to vote proxy voting shall not be permitted.

Section 6.  Any member may be dropped by the Executive Board for good and sufficient cause, after the member has been given an opportunity to be heard.


Section 1.  The Treasurer, acting as the Budget Officer shall submit a proposed budget for the ensuing year to the Executive Board at least one week prior to the Board's annual meeting in November. Upon approval by the Board, the budget is to be presented to the Chapter for adoption.


Section I .  Dues for members of the Chapter shall be determined by vote of the members at the Annual Meeting. The issue of the Bulletin prior to the Annual Meeting shall include the Budget and the dues recommended for the coming year by the Executive Board.

Section 2.  The annual dues for Auxiliary members shall be determined by vote of the membership at the Annual Meeting, as in Section 1 above.

Section 3.  Members who fail to pay their dues by the first day of January shall be notified by the Treasurer through the monthly Bulletin. Those who are delinquent as of April 1st shall be dropped from the roles.


Section I.  Regular meetings of this Chapter shall be held monthly, except for July and August which will remain "dark'. The Program Committee, with the approval of the Executive Board, may change the date and place of any meeting, if found to be expedient. Any form of gathering scheduled by the Program Committee Chairman, and approved by the Executive aboard, shall constitute a meeting.

Section 2.  The Annual Meeting of the Chapter shall be held in November of each year.  At this meeting, offices and directors for the coming year shall be elected and dues for the coming year shall be determined.

Section 3.  Special meetings of he Executive Board may be called by the President at any time.  Notices of such meetings shall be mailed to the officers and directors, or the notice of the meeting time and place may be telephoned to each officer and director.

Section 4.  The rules contained in the current edition of Roberts Rules of Order shall govern the Chapter in all cases to which they are applicable and in which they are not inconsistent with these Bylaws, or any special rules of order that the Chapter may adopt.

Section 5.  A quorum of any Annual or Regular meeting is the number of members present. The quorum refers to the number present, not to the number voting.  In a large Chapter it would be impossible to have present at a business meeting a majority of the members enro1led in the Chapter.  Therefore, it is necessary to require the presence of only a small percentage of the total members to act for the Chapter.

Section 6.  The Executive Board, as elected by the general membership is the governing body of the Chapter and shall act for the Chapter. These Bylaws provide that if only a bare majority of the members of the Executive Board are present at a meeting, properly called for or provided for, it shall constitute a quorum, and a majority vote, which means a majority of those who vote shall be sufficient to make any action taken by the Board an act of the Chapter.


Section 1.  The officers of the Chapter shall be a President, First Vice President, Second Vice President, Third Vice President, Secretary, Treasurer, Chaplain and Sergeant-At-Arms.

Section 2.  The officers of the Chapter, excepting the Chaplain, shall be elected by the membership for one year, and may be reelected as needed. The Chaplain shall be appointed by the President, subject to the approval of the Executive Board.

Section 3.  Any officer or director may be removed for cause by a majority of the membership entitled to vote, after opportunity to be heard at a regular meeting of the Chapter, or at a special meeting called for that purpose.

Section 4.  A vacancy in the office of President shall be filled by the First Vice president, Second Vice President or Third Vice President in succession for the unexpired term.  A vacancy in other offices shall be filled as the Executive Board may decide.

Section 5.  No member shall be eligible to serve more than two consecutive terms as President

Section 6.  The officers shall perform such duties as are customarily performed by officers of similar associations and such others as may be assigned to them by the Executive Board.


Section 1.  The Executive Board shall consist of the elective officers of the Chapter each serving on the Board in accordance with his title, and seven directors (one from each of the seven uniformed services, where practicable). All Past Presidents shall be honorary members, but only the immediate past president shall have voting power.

Section 2.  The Executive Board shall be the governing board for the Chapter, to include direction, coordination and planning of all activities.

Section 3.  The Secretary shall keep minutes of each Board meeting, which shall be read and approved at the nest Board meeting of the Chapters. The membership by majority vote, shall have the power to change any action taken by the board, except payment  of regularly  incurred bills.

Section 4.  The Executive Board shall meet at the call of the President, usually once each month.

 Section 5.  Chairman of standing committees will be invited to Executive Board meetings to make  reports  and to enter discussion on policy and planning.

Section 6.  Each member of the Board shall be entitled to one vote.  Proxy voting shall not be permitted.


Section I.  There shall be a Program Committee, Membership Committee, Public Affairs Committee, Survivors Committee and such other committees as may be appointed from time to time by the President.  Committee chairmen shall be appointed by the President,  subject to the approval of the Executive Board.

Section 2.  The President shall be ex-officio, a member of all committees except the Nominating Committee.

Section 3.  Any separate meeting of the directors or committees, established by the President are on the same status as regards a quorum. Their power is delegated to them as a body, and their quorum, or what number of members must be present in order that they may act as an official group or committee, is provided in these Bylaws as the same as for the Executive Board meeting.


Section I.  At the September meeting of the Chapter, the President shall appoint a Nominating Committee Chairman and a Nominating Committee, consisting if practicable of one member from each of the uniformed services. This committee will present at the Annual Meeting the names of officers and directors recommended by it to serve for the ensuing year.

Section 2.  At the Annual; Meeting the recommended slate of officers and directors will be read and nominations called for from the floor. Nominations will then be closed and elections held. A majority of votes cast by members present will elect. The Secretary shall publish the results of the election to the membership in the Bulletin. Formal installation shall take place at the January meeting .


Section 1.  This Chapter is an affiliate of the Military Officers Association of America, Alexandria, Virginia, and of the California Council of Chapters, Area 2.

Section 2.  New members of this Chapter are urged to become members of teh National Association.

Section 3.  The President may appoint a member of this chapter as chairman of the committee to represent the Chapter at meetings of the California Council of Chapters and of the California Council of Chapters, Area 2.


Section I.  The Constitution and Bylaws of this Chapter may he altered, amended or changed, or a new Constitution and Bylaws may be adopted by a two-thirds vote of the members present at any regular or special meeting of the Chapter called for that purpose, after notification of the proposed change by announcement at the previous meeting.


Section I.  The American Flag shall be displayed and honored at all meetings of the Chapter.
